Terms of Service

1. Acceptance of Terms

By accessing and using the Englander Location Confirmation application ("the App"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the App.

The App is provided by Just Horse Riders Ltd, a company registered in England and Wales (company number 08856942), trading as "Englander" ("Englander", "we", "us").

2. Description of Service

Englander provides a mobile application for warehouse inventory management, specifically designed to integrate with Linnworks. The service includes:

• Barcode scanning functionality
• Stock level verification and updates
• Bin location management
• Real-time synchronization with Linnworks

3. Account Registration

3.1 Account Creation

To use the App, you must:

• Create an account with a valid email address
• Link your Linnworks account via OAuth
• Provide accurate and complete information
• Be at least 16 years of age

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Subscription and Payment

4.1 Free Trial

A free trial is available when you subscribe through the Linnworks Application Store, letting you use the full app for a limited period before paid billing begins. Trial length and terms are shown at the point of subscription.

4.2 Paid Subscription

• Price: £12/month, excluding VAT – applicable VAT is added at checkout by Linnworks
• Billing: Monthly, charged automatically through your Linnworks account (per Linnworks account)
• Payment: Processed securely through the Linnworks Payment Gateway, as part of your Linnworks subscription

4.3 Cancellation

You may cancel your subscription at any time through the Linnworks Application Store (Subscriptions). Cancellation takes effect at the end of the current billing period. No refunds for partial months.

4.4 Failed or Lapsed Payments

Subscription billing – including payment retries and notifications – is managed by Linnworks through the Linnworks Payment Gateway. If your subscription lapses or payment is not completed, access to the App may be suspended until your Linnworks subscription is active again.

5. Linnworks Integration

5.1 Authorization

By linking your Linnworks account, you authorize Englander to:

• Access your inventory data
• Read stock levels and locations
• Update stock quantities and bin locations
• Retrieve warehouse and product information

5.2 Data Accuracy

While we strive for accuracy, you acknowledge that:

• Data is synchronized in real-time but may have brief delays
• You are responsible for verifying critical inventory changes
• Englander is not liable for inventory discrepancies

6. Acceptable Use

You agree NOT to:

• Use the App for any illegal purpose
• Attempt to reverse engineer or hack the App
• Share your account credentials with unauthorized users
• Use the App to transmit malware or harmful code
• Interfere with or disrupt the service
• Violate any applicable laws or regulations

7. Intellectual Property

All content, features, and functionality of the App are owned by Englander and are protected by copyright, trademark, and other intellectual property laws.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of data

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGLANDER SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from inventory errors or discrepancies
• Damages exceeding the amount paid for the service in the last 12 months

10. Indemnification

You agree to indemnify and hold harmless Englander from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights

11. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance (with notice)
• Temporarily suspend service for updates
• Experience unexpected downtime

12. Termination

We may terminate or suspend your account immediately if you:

• Violate these Terms of Service
• Fail to pay subscription fees
• Engage in fraudulent activity
• Use the service in a manner that harms Englander or other users

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via:

• Email notification
• In-app notification
• Website update

Continued use of the App after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Englander regarding the use of the App.
